FF announces reverse stock split.

[Dahe Finance Cube News] On July 22, Faraday Future Intelligent Electric Inc. (Nasdaq: FFAI, hereinafter referred to as FF) announced that the company’s Class A common stock and Class B common stock will implement a 150:1 reverse stock split. It will be implemented from the opening of July 24, 2026.

FF said that in accordance with Nasdaq rules, if the closing purchase price of the company's Class A common stock is equal to or lower than $0.10 for 10 consecutive trading days, Nasdaq's delisting decision will be triggered, and the company's stock trading will be immediately suspended.

Given that the company's stock price is currently close to this critical level, the company's board of directors believes that the company cannot respond to this foreseeable major risk by continuing to wait.

The reverse stock split was implemented at this time to safeguard the company's Nasdaq listing status, stock liquidity, financing channels and the long-term interests of all shareholders.

FF also mentioned that after the reverse stock split of outstanding shares, the total number of authorized shares remains unchanged, but this does not mean that the company plans to issue immediately. The total number of authorized shares is the maximum number of shares the company has the right to issue, not the actual number of shares issued.

When actually issuing shares, the company intends to continue to adhere to the principle of prudence, only provide necessary financing for strategic development, and strive to balance financing needs and share dilution.
