Shareholders of the materials maker will receive $17.37 per share in the all-cash transaction Luxfer has agreed to an all-cash acquisition by Wynnchurch Capital in a deal valued at $462.7 million. Rutherford announced on Monday that the acquisition was an all-cash transaction, with shareholders receiving $17.37 per share. According to the company's 2025 annual report, as of the end of 2025, the company's total share capital was approximately 26.6 million shares. After the transaction is completed, Rutherford will delist and continue to operate as an unlisted private company. The acquisition represents a 31% premium to the closing price of $13.29 on April 28, the company said. April 28 was the last trading day before the release of its first-quarter financial report. Rutherford simultaneously announced the launch of a strategic review that day. The stock closed at $17.05 on Friday; trading in Rutherford's shares was suspended during the announcement of the acquisition. In April this year, the company's management stated that following the strategic review in 2024, the company continues to evaluate various development alternatives and has hired third-party institutions such as investment banks and strategic growth consulting to provide assistance. The transaction is subject to approval by Rutherford shareholders and regulatory authorities, and is expected to be completed by the end of 2026. Rutherford was originally scheduled to release its second-quarter financial report after the U.S. stock market closes on Tuesday; affected by the news of this acquisition, the company will no longer arrange a financial investor conference call.
