Westinghouse Electric Secretly Files for IPO
Westinghouse Electric has confidentially submitted a draft IPO registration statement to the U.S. Securities and Exchange Commission, beginning preparations for an initial public offering of common stock. The company, headquartered in Cranberry Township, Pennsylvania, is jointly controlled by Canada-based Brookfield Asset Management, whose stock code is BN and whose shares rose 1.12%, and Cameco. Westinghouse said the number of shares to be offered and the offering price range have not yet been determined. The offering will ultimately depend on market conditions. The SEC's confidential IPO filing process allows companies to communicate with regulators and revise their disclosure documents through multiple rounds while their filings are being prepared. Last year, Westinghouse and its two major shareholders signed an agreement with the U.S. Department of Commerce. Under the agreement, the U.S. government will provide financing coordination and facilitate approvals to support nuclear reactor projects with a total value of at least USD 80 billion that will be built using Westinghouse technology. Brookfield owns a 51% stake in Westinghouse, while Cameco owns the remaining 49%. The two companies completed their acquisition of Westinghouse at the end of 2023 in a transaction valued at approximately USD 8 billion.
